These Terms of Use govern your access to and use of the website located at psmg.com.au (the “Website”), operated by ProShot Management Group Pty Ltd (ACN 652 670 632, ABN 68 139 132 383), trading as PMG (“PMG”, “we”, “us”, “our”). By using the Website, you agree to these Terms of Use. If you do not agree, please do not use the Website.
These Terms of Use apply to the Website only. If you engage PMG for ISO 9001, ISO 45001, or other consulting services, that engagement is governed by a separate written services agreement, which takes precedence over these Terms in the event of any conflict.
1. Website content
The Website provides general information about PMG’s ISO 9001 and ISO 45001 consulting services, indicative pricing, and a means of contacting us. Content is provided for general informational purposes and does not constitute professional advice. Pricing shown is indicative. PMG reserves the right to change service details, pricing, and inclusions at its discretion, without prior notice. If a change is not acceptable to you, you may end your engagement and receive a pro-rata reimbursement for work not yet delivered.
2. Intellectual property
2.1 Website content
All content on the Website — including text, graphics, logos, and the “PMG” and “ProShot Management Group” names and branding — is owned by or licensed to PMG and is protected by copyright and other intellectual property laws. You may view and print pages from the Website for your own personal, non-commercial use, but you must not reproduce, distribute, modify, or commercially exploit any part of the Website without our prior written consent.
2.2 Client deliverables
This section addresses ownership of documents and materials PMG produces for clients as part of a paid consulting engagement (for example, quality manuals, WHS procedures, audit reports, and other management-system documentation).
Upon full payment for an engagement, the client owns the specific documents, procedures, and records created for that client as final deliverables (“Deliverables”). In consideration of PMG’s work in preparing the Deliverables, the client grants PMG a perpetual, irrevocable, non-exclusive, royalty-free licence to use, reproduce, adapt, and reuse the Deliverables — including as templates or reference material for other engagements — provided that PMG will remove or de-identify the client’s name, confidential information, and any other identifying details before reusing the Deliverables outside that client’s own engagement. PMG separately retains ownership of its own pre-existing methodologies, templates, tools, and know-how used to produce the Deliverables, and may use and adapt them for other clients regardless of this licence. Nothing in this clause transfers ownership of any third-party or certification-body materials referenced in a Deliverable.
3. Acceptable use
You must not use the Website to: (a) violate any applicable law; (b) attempt to gain unauthorised access to the Website or its systems; (c) transmit any virus, malware, or harmful code; or (d) interfere with the proper functioning of the Website.
4. Third-party links
The Website may contain links to third-party websites (for example, certification bodies or industry resources). We do not control and are not responsible for the content or practices of those third-party sites.
5. Disclaimers and liability
5.1 General disclaimer
The Website and its content are provided “as is.” To the maximum extent permitted by law, PMG does not warrant that the Website will be uninterrupted, error-free, or free of viruses, and does not warrant the accuracy or completeness of information on the Website.
5.2 Consumer guarantees under the Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you under the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) or any other law that cannot lawfully be excluded, restricted, or modified. Any limitation of liability in these Terms applies only to the maximum extent permitted by law, and is subject to those guarantees.
5.3 Limitation of liability
Subject to Section 5.2, to the maximum extent permitted by law, PMG’s total liability arising out of or in connection with your use of the Website (as distinct from a paid services engagement, which is governed separately) is limited, at PMG’s option, to re-supplying the relevant information or service, or the cost of doing so.
6. Dispute resolution
If a dispute arises out of or in connection with these Terms or your use of the Website, the parties agree to first attempt to resolve the dispute in good faith through informal discussion before commencing formal proceedings, except where a party seeks urgent injunctive relief.
7. Governing law and jurisdiction
These Terms are governed by the laws of the State of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
8. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Continued use of the Website after changes take effect constitutes acceptance of the updated Terms.
